British Virgin Islands company registration means incorporating a BVI business company (BC) under the BVI Business Companies Act. Only a licensed registered agent files. It lodges the memorandum and articles of association with the Registry of Corporate Affairs at the BVI Financial Services Commission (FSC). The Registrar issues a certificate of incorporation. Nobody has to visit the British Virgin Islands (BVI), but the agent and a registered office must be there. Founders often call this offshore company formation. The decisions run in order: what you are really forming and who may own and run it, what the tax exemption covers and where it stops, and what a BVI company owes once it exists, including why the bank account is separate.

Every BVI company is a BC. International Business Companies became BCs from 1 January 2007, and names must end in a word such as Limited or Ltd, never "LLC". The BVI Business Companies Act also allows a company limited by guarantee or an unlimited company, but holding and trading companies are normally limited by shares. Members and directors may be companies, so a parent abroad can own and run a BC. Nominees are lawful but disclosed to the Registrar, and bearer shares have been banned since 1 January 2023. Information filed on beneficial owners is not public: authorities and anyone showing a legitimate interest can see it. An additional foreign character name, for example a Chinese name, can be registered.

What the exemption covers and where it stops

Under s.242 of the Act, a BC has a statutory exemption, not a rate: the company, what it pays out, and capital gains on its shares or debt are exempt from income tax. A company in a relevant activity, holding included, generally must meet the BVI's economic substance requirements. It must report through its registered agent in the BVI to the International Tax Authority (ITA). A registered office is not substance. Management abroad can move the company's tax residence, and the owners' home rules may tax its profits. Payroll tax on BVI staff and stamp duty on BVI land still apply. A tax number comes from the Inland Revenue Department (IRD) once there is a BVI tax to account for.

What comes after British Virgin Islands company registration

The registered agent handles every filing and fee for life. Since 2 January 2025, it appoints the first directors within 15 days of incorporation and files the register of members and beneficial ownership information within 30 days. Yearly compliance means the annual fee, a renewal without which the company can be struck off, an annual financial return to the agent within nine months of the year-end, and accounting records kept at least five years. Banking is separate. A corporate bank account needs the bank's own checks on company documents, stricter in the EU since the European Commission's anti-money-laundering high-risk listing of the BVI took effect on 29 January 2026. Fix the financial year-end with the agent before the certificate issues.
